The agreement
These terms are the agreement between you and Komunidad Global Pte. Ltd. for the Komunidad platform, which includes Komplee, OpsCon, the partner portal and anything you build with them.
By opening an account or using the platform you accept them. If you are accepting on behalf of an organisation, you are confirming you are allowed to bind it, and "you" then means that organisation.
If we have signed a separate written agreement with you, that agreement wins wherever the two disagree.
What the service is
Komunidad is a platform for building and running software in sustainability, climate, environment, risk and compliance. You can use it to build applications you deliver to your own clients, or applications you run inside your own organisation.
What you can do depends on your plan. Plans, limits and prices are on the pricing page and may change, on the notice set out below.
Your account
- You are responsible for everything done under your account
- Keep your sign-in details to yourself and tell us promptly if you think someone else has them
- Give us accurate details, and keep them current
- Each login is for one named person; logins are not shared
Partner accounts and demos
A free partner account comes with a limited number of demo applications. A demo holds sample data, runs for a limited period, and then locks. A demo is for evaluating and showing the platform. It is not for production use and carries no availability commitment.
Fees, credits and payment
- Subscription fees are charged per licensed site, in advance, for the period you pick
- AI features are paid for with credits. Credits you buy on top of a plan do not expire while your account is open
- A custom agent, custom feature or custom data modelling is quoted separately as a one-off setup fee, agreed in writing before work starts, and only on the plans that offer it
- Fees are exclusive of taxes, which are added where they apply
- Invoices are due within 30 days of the invoice date. Late amounts may carry interest at 1.5% a month, or the highest rate the law allows if that is lower, and we may suspend the service after 14 days of written notice
- Fees already paid are not refundable except where these terms or the law say otherwise
We may change prices with at least 30 days written notice. A price change takes effect at your next renewal, and you may cancel before it does.
Your data, and who owns what
You own what you put in and what comes out. We claim no ownership of your data, your clients' data, your configurations, your templates or your reports.
You grant us a limited licence to host, process, transmit and back up that data, only so far as running the service requires, and only for as long as we are running it for you.
We own the platform itself: the software, the models, the interfaces, the documentation and our brands. Nothing here transfers that to you. Feedback you give us we may use freely.
We do not use your data to train AI models, and we never expose it to another customer. The detail is on the Data processing page.
Acceptable use
You will not:
- Break the law with it, or use it to infringe someone else's rights
- Upload malware, or try to breach, probe or overload the platform
- Reverse engineer the platform, or copy it to build a competing product
- Resell or sublicence access except as a partner delivering applications to your own clients, which is exactly what the platform is for
- Publish output in a way that presents an estimate or a model result as a measured fact
- Use it to make an automated decision about a person that has a legal or similarly significant effect on them, without a human reviewing it
We may suspend an account that is breaking these rules, or that is putting the platform or other customers at risk. Where we can, we will warn you first.
What the platform does not decide
Komunidad produces assessments, forecasts, scores and reports from data and models. They are inputs to a decision, not the decision.
Forecasts and hazard models are uncertain by nature. Disclosure frameworks are interpreted by people. You remain responsible for reviewing output before you rely on it, file it, or pass it to a client, a regulator or the public.
Third-party data and services
The platform can connect to data and systems we do not control: weather and satellite feeds, mapping services, your own tools. We pass through what they give us. We do not warrant their accuracy or availability, and their own terms apply to them.
Availability and support
We aim to keep the platform available and to tell you in advance about planned maintenance. A committed availability level, a response time and a named contact come with an Enterprise plan or a separate service level agreement. Where one applies, it is the service level agreement attached to your order form, and it is available from info@komunidad.co before you sign.
Confidentiality
Each of us will protect the other's confidential information with at least reasonable care, use it only for this agreement, and not disclose it except to people who need it and are under similar obligations. This does not cover information that is public, already known, independently developed, or that the law requires to be disclosed.
Warranties and disclaimer
We warrant that we will provide the service with reasonable skill and care.
Beyond that, and to the extent the law allows, the platform is provided "as is". We do not warrant that it will be uninterrupted or error free, or that its output will be accurate or fit for a particular purpose.
Limitation of liability
Neither of us is liable for indirect or consequential loss, or for lost profits, revenue, goodwill or data, however it arises.
Each party's total liability under this agreement is capped at the fees you paid in the 12 months before the claim.
Nothing here excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.
Indemnity
You will cover us against claims arising from your data or from your use of the platform in breach of these terms. We will cover you against a claim that the platform itself infringes a third party's intellectual property, provided you tell us promptly and let us handle the defence.
Term, suspension and termination
This agreement runs while you hold an account.
- You may cancel at any time from your account settings; cancellation takes effect at the end of the paid period
- We may terminate for a material breach you have not fixed within 30 days of written notice
- On termination your right to use the platform stops. You can export your data for 30 days afterwards, and we delete it in line with the Data processing page
Changes to these terms
We may update these terms. A material change will be notified to the account owner at least 30 days before it takes effect, and continuing to use the platform after that means you accept it. If you do not, you may cancel before it takes effect.
Governing law
These terms are governed by the laws of Singapore, and the courts of Singapore have exclusive jurisdiction, without regard to conflict of law rules. This applies wherever you are: we contract from Singapore and serve customers worldwide.
Nothing here takes away a right you have under the consumer or data protection law of the country you live in, where that law says it cannot be contracted out of.
